PROBLEM TO BE SOLVED: To provide a counterbalance valve which can properly adjust a brake distance of a vehicle body, and a fluid pressure control device having the counterbalance valve.SOLUTION: A counterbalance valve 10 comprises: valve-side passages 14a, 14b which communicate with a direction changeover valve 3; motor-side passages 15a, 15b which communicate with a hydraulic motor 2; a control valve 11 which controls a flow of a working fluid between the valve-side passages 14a, 14b and the motor-side passages 15a, 15b when the direction changeover valve 3 is switched; pilot chambers 11a, 11b into which pilot pressure for controlling the control valve 11 is introduced; pilot passages 13a, 13b which make the valve-side passages 14a, 14b and the pilot chambers 11a, 11b communicate with each other; and flow rate control valves 12a, 12b which variably control a flow rate of the working fluid flowing in the pilot passages 13a, 13b.SELECTED DRAWING: Figure 1
