A cutting apparatus with a quick-change tool holder for use in a ground processing machine, the cutting apparatus (1) comprising a tool holder (2) and a base (3), the tool holder (2) having a main body (210), a tool mounting part (22) being arranged on a machining part side of the upper part of the main body (210), an extension handle (202) being arranged on a fixed part side of the lower part of the main body (210), and a plurality of open outer faces being disposed between the tool mounting part (220 and the extension handle (202) of the main body (210). The tool holder (2) and the base (3) of the present cutting apparatus have multiple working surfaces for working together, enlarging the contact area and releasing the working force from the tool holder (2) to the base (3) to the maximum extent possible, and the tool holder (2) can freely rotate by means of an accommodating part of the base (3), so that disassembly of the tool holder (2) is more convenient.
