Warranties go under several names. They are sometimes called 'collateral warranties', 'warranties' or, particularly where professionals are involved, 'duty of care agreements'. This chapter is only concerned with the warranties which architects may be asked to complete. First, it is important to understand the purpose of a collateral warranty. The basic purpose is to establish a contractual relationship between two people or companies. There are many architects who regularly sign warranties without bothering to read them and think of them simply as bit of paper that has to be signed but which is not of much consequence. Clauses commonly found in warranties include reasonable skill and care, prohibited materials, step‐in rights, copyright, professional indemnity insurance, and net contribution clause. An invariable feature of warranties is the right of the person to whom the warranty is given to assign it to another person.
