Letters of intent usually result in small contracts for perhaps some of the total Works. They are often what are commonly known as ‘if’ contracts because they are put to the contractor on the basis that ‘if’ the contractor will carry out the work indicated, the employer will pay a reasonable sum. It is an invitation to carry out the contract. There is no contract until the contractor accepts the invitation by starting work. The classic letter of intent is sent by or on behalf of the employer. It acknowledges receipt of the contractor’s price for carrying out a specific project. It says that the employer intends to accept the price but cannot do so now. The author has seen letters of intent drafted by solicitors which are almost as long as the contract for which the letter of intent is supposedly a temporary expedient.
