The invention relates to a composite waterproof flooring and a wall cover plate. The composite waterproof board comprises a rigid inert core, the rigid inert core comprises a plastic composite, the plastic composite comprises at least 20% of plastic, and the plastic is selected from the group consisting of high density polyethylene and polyvinyl chloride; a decorative sheet layer bonded to a top surface of the rigid inert core, where the decorative sheet layer is waterproof and encapsulated in a resin such that the decorative sheet layer is waterproof and wear resistant; a first waterproof adhesive layer that bonds the rigid inert core with the decorative sheet layer; and the composite waterproof board has a first edge with a slot extending laterally into the rigid inert core, and a second opposite edge with a tongue extending from the rigid inert core. The plate and the panel manufactured according to the invention have better dimensional stability.
