Court Limits PSC's Jurisdiction
Ascadiana Treatment Systems Inc. and ATS Utilities Inc. provided water and sewer services to about 5,700 customers in south‐central and southeastern Louisiana. The owners contracted to sell all their shares to Seashore Utilities Inc., a Mississippi corporation that also provided water and sewer services. The agreement was conditioned upon approval of the sale by the Louisiana Public Service Commission (PSC). The parties applied to the PSC for a letter of no opposition to the stock transfer. The record contained numerous Mississippi complaints against Seashore, documents reflecting resolution of those complaints, and evidence of Seashore's good reputation in Mississippi. The PSC denied the application, and the applicants then brought this action against the PSC. After several proceedings, the trial court decided that the PSC's decision was “arbitrary, capricious, and clearly erroneous.”
