“Actual Cost” Defined
The town of Southbridge is a municipal corporation. The Southbridge Water Supply Company (SWSC) began furnishing water to Southbridge in 1881 and later to Charlton and Sturbridge. Its real estate included reservoirs in Southbridge, Mass., Sturbridge, Mass., and Woodstock, Conn. In 1972, a town water supply committee was authorized to negotiate for the purchase of SWSC pursuant to SWSC's original charter. However, the parties could not agree on the meaning of “actual cost” in the charter. As a result, the town sought a declaration as to the definition of “actual cost.” The trial court defined the term as original cost of the plant less accrued depreciation.
