A padlock having a locked, unlocked and reset mode, comprising a shackle 40, a combination lock comprising a spindle (50 Fig 1A) connected to the heel of the shackle for movement together, a stack of clutches 70 and a plurality of dials 60 engageable with the clutches to form a combination code, and a cylinder (80 Fig 12c) to receive a key, the cylinder having a wall which contacts the clutch stack when the padlock is locked, unlocked or in the reset mode. When the padlock is unlocked by the combination lock, the spindle is engaged with the clutch stack for movement together along with the shackle. When the padlock is unlocked by the key operation, the spindle is disengaged with the clutch stack, allowing the spindle and the shackle to move upward relative to the clutch stack. Preferably there is an indicator member 100 which is deployed when the padlock is unlocked by the key. The reset mode requires rotating the shackle 180 degrees and engaging a reset notch (43 Fig 17a) is aligned with reset slot (23/33 Fig 3) allowing the shackle to be pushed down disengaging the clutches from the dials.
