The invention provides a ventilating waterproof external wall panel and an external wall. The ventilating waterproof external wall panel comprises a panel body, a strip-shaped groove which is formed in the middle of the panel body and is concave inwards, a fixing part arranged at one end of the panel body and an inserting part arranged at the other end of the panel body. The fixing part comprisesa convex opening formed by inwards extending one end of the panel body; the inserting part comprises a notch formed by inwards extending one end of the panel body; the notch is matched with the convexopening; and a through hole is formed between the bottom of the strip-shaped groove and the side wall close to the fixing part, and the through hole is used for light transmission, ventilation and heat dissipation of the external wall panel. The ventilating waterproof external wall panel and the external wall mounting structure are simple, have the functions of ventilation and decoration, and aregood in waterproof performance and good in noise reduction and elimination performance.
