The double-layer PE co-extrusion wood-plastic plate comprises a base material, a cross-shaped groove is formed in one side of the base material, a cross is connected to the side, away from the cross-shaped groove, of the base material, a plurality of rectangular grooves are formed in the top of the base material, bosses are connected to the left sides and the right sides of the rectangular grooves, a plurality of upper inclined grooves are formed in the positions, located on the rectangular grooves, of the base material, and a plurality of lower inclined grooves are formed in the positions, located on the upper inclined grooves, of the base material. The base material is provided with a plurality of lower chutes below the upper chutes; compared with the prior art, the double-layer PE co-extrusion wood-plastic plate and the preparation method thereof have the advantages that the weather resistance of the whole wood-plastic plate is improved by adding a terpolymer of acrylate, acrylonitrile and styrene into the raw materials of the base material and coating the surface layer of the base material with a protective layer coating with certain weather resistance; the purpose of convenient connection and installation is achieved through mutual matching of the cross grooves and the cross frames on the two sides of the double-layer PE co-extrusion wood-plastic plate.
